stamp duty, is it applicable for employment contracts?

key points and their answers

  1. Whether employment contracts are subject to stamp duty
Employment contracts are expressly subject to stamp duty. The applicable rate is 1% of one month’s salary, and the obligation to pay rests on the employer.

  2. Whether payment is one-time or periodic
Stamp duty is payable upon execution of the employment contract. It is a one-time payment on the contract and is not payable monthly or annually simply because the employment relationship continues.

  3. Whether amendments trigger additional stamp duty
In my view, amendments to an existing employment contract, including salary adjustments, should not automatically attract additional stamp duty unless the law expressly provides that such amendment is separately chargeable. Tax obligations should not generally be extended by implication. However, where the parties execute a completely new or renewed employment contract, the new instrument should be considered separately.

  4. Previously executed contracts without stamp duty
The Revenue Authority may request payment of outstanding stamp duty for previously executed contracts and may seek retrospective payment within the applicable limitation period,

  1. Whether an organization qualifies for exemption
An organization does not automatically qualify for exemption merely because of its INGO status. An exemption may, however, arise from a specific host-country agreement, international agreement, government decision, project agreement or other exemption instrument applicable to the organization. I therefore recommend reviewing organization’s relevant exemption and host-country documentation.

  2. Payment procedure and responsible authority
Stamp duty is administered by the Ministry of Revenue. Payment should be coordinated with the tax office responsible for organization’s taxpayer file, and evidence of payment should be retained together with the relevant employment contract.

In general, although stamp duty on employment contracts is clearly provided under Ethiopian law, its collection has not been uniform in practice among companies and NGOs. This inconsistency is primarily an enforcement and tax-administration issue and does not, by itself, remove the statutory obligation.
